AMENDMENT AND RESTATEMENT OF THE QUANTUM CORPORATION EMPLOYEE STOCK PURCHASE PLAN

    On January 1, 2010, Quantum Corporation's Leadership and Compensation Committee amended the Company's Employee Stock Purchase Plan (the "ESPP") to set the maximum number of shares available for sale under the ESPP in any one offering period at two million (2,000,000) shares of the Company's common stock (subject to adjustment upon changes in capitalization of the Company as provided in Section 18 of the ESPP).

   The above stated summary is qualified by reference to the actual plan, which is filed as Exhibit 10.1 of this form 8-K, and is incorporated by reference herein.
