Item 4.01. Changes in Registrant's Certifying Accountant
(a) Effective August 22, 2008, Ernst & Young LLP ("Ernst & Young") was dismissed as the Company's principal independent accountant engaged to audit the Company's financial statements. This decision was approved by both the Company's Audit Committee and full Board of Directors. Neither of Ernst & Young's reports on the financial statements of the Company for the last two fiscal years contain an adverse opinion or a disclaimer of opinion, and neither are qualified or modified as to uncertainty, audit scope or accounting principles. During the Company's two most recent fiscal years and the subsequent interim period preceding the dismissal, there were no disagreements with Ernst & Young on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which, if not resolved to the satisfaction of Ernst & Young, would have caused it to make reference to the subject matter of the disagreements in connection with its report.
(b) Effective August 22, 2008, PricewaterhouseCoopers LLP was engaged as the Company's principle independent accountant to audit the Company's financial statements.
