On July 18, 2021, we entered into an Asset Purchase Agreement dated as of July 18, 2021 (the “Purchase Agreement”) with PV3 (an ABC) LLC, a Delaware limited liability company (“Seller”), as assignee for the benefit of Pivot3, Inc., a Delaware corporation (“Pivot3”), under that certain General Assignment, dated of July 18, 2021 and effective as of 12:01 a.m. July 18, 2021 between Pivot3 and Seller (the “General Assignment”), pursuant to which we agreed to consummate a sale with Seller (the “Transaction”) of specified assets previously related to Pivot3's video surveillance business that had been transferred by Pivot3 to Seller pursuant to the General Assignment (collectively, the “Purchased Assets”). In partial consideration for the purchase price under the Purchase Agreement, Seller required that we issue 459,720 shares of our common stock directly to Runway Growth Credit Fund Inc. (“Runway”), Pivot3's secured lender, in partial satisfaction of secured debt owing to Runway. The shares of common stock issued to the selling stockholder in connection with the Transaction were issued in reliance on an exemption from the registration requirements of the Securities Act, pursuant to Section 4(a)(2) thereof and Regulation D. Pursuant to the Purchase Agreement, we have agreed to use commercially reasonable efforts to register the common stock issued to the selling stockholder in connection with the Transaction.
